These Terms of Service (“Terms“) constitute a legally binding agreement between you and Sparroz Group Ltd. (“Sparroz,” “we,” “our,” or “us“) governing your access to and use of our website, platform, applications, products, payment solutions, financial services, and any related services we make available (collectively, the “Services“).

By accessing our website, creating an account, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must immediately discontinue use of the Services.

 

1. About Sparroz

Sparroz Group Ltd. is a corporation incorporated under the laws of Canada.

Sparroz provides technology-enabled financial services designed to facilitate domestic and international financial transactions for individuals, employers, businesses, migrants, international workers, and other eligible customers.

Certain Services may be provided directly by Sparroz, while others may be provided through regulated financial institutions, licensed payment providers, banking partners, card issuers, or other authorized third-party service providers.

Nothing in these Terms shall be interpreted as creating a banking relationship unless expressly stated.

 

2. Scope of these Terms

These Terms govern your use of:

  • the Sparroz website;
  • customer accounts;
  • mobile or web applications;
  • payment and money movement services;
  • multi-currency services;
  • virtual and physical payment cards;
  • account management features;
  • business payment services;
  • employer payment solutions;
  • APIs and developer services (where available);
  • and any additional products or services made available by Sparroz from time to time.

Additional terms may apply to specific Services. Where additional terms apply, those terms form part of this Agreement.

In the event of any conflict between these Terms and product-specific terms, the product-specific terms shall prevail solely with respect to that Service.

 

3. Availability of Services

Sparroz provides Services to customers in multiple jurisdictions, subject to applicable laws, licensing requirements, commercial availability, operational capabilities, and internal risk policies.

Not every Service is available in every country.

The availability of Services may depend upon factors including:

  • country of residence;
  • citizenship or nationality;
  • business location;
  • regulatory requirements;
  • identity verification status;
  • sanctions restrictions;
  • risk assessment;
  • local legal restrictions;
  • product eligibility.

Sparroz reserves the right, at its sole discretion and where permitted by law, to:

  • refuse to offer Services in any jurisdiction;
  • discontinue Services in particular countries;
  • introduce geographic restrictions;
  • suspend Services due to regulatory changes;
  • limit access based upon licensing requirements or risk considerations.

Nothing contained within these Terms shall be interpreted as a representation that any particular Service is legally available in every jurisdiction.

 

4. Regulatory Status

Sparroz operates in accordance with applicable Canadian laws and regulatory obligations applicable to its business activities.

Certain Services may be subject to licensing, registration, or regulatory oversight in Canada or other jurisdictions.

Where Services are provided through regulated financial institutions or licensed partners, those providers may impose additional legal or regulatory requirements which you agree to comply with.

Nothing contained within these Terms constitutes legal, tax, investment, financial, or regulatory advice.

 

5. Eligibility

To use our Services you must:

  • be at least eighteen (18) years of age, or the legal age of majority in your jurisdiction, whichever is higher;
  • possess the legal capacity to enter into binding contracts;
  • provide complete, accurate and truthful information;
  • comply with all applicable laws;
  • not be prohibited from using financial services under applicable law;
  • successfully complete any verification procedures required by Sparroz.

Business customers represent that the individual opening or operating the account has full authority to legally bind the organization.

We may require documentary evidence of such authority at any time.

 

6. Customer Responsibilities

You agree that you will:

  • provide accurate information at all times;
  • promptly update any information that changes;
  • maintain accurate contact information;
  • protect your login credentials;
  • maintain the confidentiality of authentication methods;
  • immediately notify Sparroz of any suspected unauthorized access;
  • use the Services only for lawful purposes;
  • cooperate with compliance reviews;
  • respond promptly to reasonable requests for information.

You remain responsible for activities performed through your account unless otherwise required by applicable law.

 

7. Prohibited Activities

You may not use the Services:

  • for any unlawful purpose;
  • to engage in fraud or attempted fraud;
  • to facilitate money laundering;
  • to finance terrorism or other prohibited activities;
  • to evade sanctions or export control laws;
  • to process proceeds of crime;
  • to impersonate another individual or organization;
  • to submit false, misleading or fraudulent information;
  • to interfere with the operation or security of the Services;
  • to infringe intellectual property rights;
  • to introduce malware or malicious software;
  • to abuse, exploit or reverse engineer the platform except where expressly permitted by law.

Sparroz may investigate suspected violations and take any action permitted by applicable law, including restricting or terminating access to the Services.

 

8. Compliance with Local Laws

Because Sparroz provides cross-border financial services, customers are solely responsible for ensuring that their use of the Services complies with the laws applicable in their country of residence, nationality, business operations, or any jurisdiction in which they conduct transactions.

Nothing in these Terms should be interpreted as confirmation that the Services may lawfully be used in every jurisdiction.

Where local law prohibits or restricts particular Services, those Services may not be available.


9. Account Registration

In order to access certain Services, you may be required to register for a Sparroz Account.

When creating an account, you agree to provide complete, accurate, current, and truthful information and to promptly update any information that becomes inaccurate or outdated.

You may not:

  • create an account on behalf of another person without proper authorization;
  • create multiple accounts to circumvent restrictions;
  • use false, misleading, or stolen identities;
  • share your account credentials with unauthorized individuals.

Sparroz reserves the right to reject any application or refuse account registration without providing a reason where permitted by applicable law.

Registration does not guarantee approval to use every Service offered by Sparroz.

 

10. Identity Verification (KYC)

To comply with applicable laws and regulatory obligations, Sparroz may require you to complete identity verification before, during, or after account registration.

Verification requirements may include, but are not limited to:

  • government-issued photo identification;
  • proof of residential address;
  • business registration documents;
  • proof of source of funds;
  • proof of source of wealth where required;
  • tax identification numbers;
  • beneficial ownership information;
  • biometric verification where legally permitted;
  • additional documentation reasonably requested by our Compliance Team.

Verification requirements may vary depending on:

  • the Services requested;
  • transaction volume;
  • country of residence;
  • business activities;
  • regulatory obligations;
  • risk assessment.

Failure to complete verification may result in delayed onboarding, restricted functionality, temporary suspension, or permanent closure of your account.

 

11. Ongoing Customer Due Diligence

Compliance obligations continue throughout the customer relationship.

Accordingly, Sparroz may periodically request updated documentation or additional information to:

  • confirm your identity;
  • verify changes to your personal or business information;
  • satisfy ongoing regulatory requirements;
  • review unusual account activity;
  • maintain accurate customer records.

You agree to cooperate with such requests within a reasonable period.

Failure to do so may result in restrictions on your account.

 

12. Security of Your Account

You are responsible for maintaining the security of your account.

You agree to:

  • protect your username and password;
  • maintain the confidentiality of authentication methods;
  • use strong passwords;
  • enable available security features where applicable;
  • notify Sparroz immediately if you suspect unauthorized access.

Unless otherwise required by applicable law, you remain responsible for activities performed using your credentials until you notify Sparroz of unauthorized use.

Sparroz may suspend access to your account where unauthorized activity is suspected.

 

13. Communications

By creating an account, you agree that Sparroz may communicate with you electronically.

Communications may include:

  • account notifications;
  • transaction confirmations;
  • security alerts;
  • compliance requests;
  • legal notices;
  • changes to our Services;
  • updates to these Terms;
  • regulatory disclosures.

Electronic communications may be delivered through:

  • email;
  • your online account;
  • mobile application notifications;
  • SMS where applicable;
  • other electronic communication methods made available by Sparroz.

You are responsible for maintaining current contact information.

Electronic communications shall be deemed received when transmitted, unless otherwise required by applicable law.

 

14. Financial Services

Sparroz offers financial products and services that may include:

  • payment processing;
  • domestic and international money transfers;
  • multi-currency payment solutions;
  • stored value functionality where legally available;
  • virtual payment cards;
  • physical payment cards;
  • employer payment solutions;
  • business payment services;
  • foreign exchange services;
  • additional financial products introduced from time to time.

The availability of individual Services depends upon applicable law, licensing requirements, third-party partners, operational availability, and customer eligibility.

Nothing in these Terms guarantees continued availability of any specific Service.

 

15. Payment Instructions

You are solely responsible for ensuring that payment instructions submitted through the Services are accurate.

This includes:

  • recipient names;
  • account numbers;
  • IBANs;
  • routing numbers;
  • SWIFT/BIC codes;
  • wallet identifiers;
  • payment references;
  • payment amounts;
  • currencies selected.

Sparroz is not responsible for losses resulting from inaccurate payment instructions provided by you.

Where possible, Sparroz may attempt to assist in recovering incorrectly sent funds; however, recovery cannot be guaranteed and additional fees may apply.

 

16. Processing Times

Processing times are estimates only.

Actual processing may depend upon:

  • intermediary financial institutions;
  • recipient banks;
  • payment networks;
  • card schemes;
  • foreign exchange providers;
  • regulatory reviews;
  • sanctions screening;
  • public holidays;
  • weekends;
  • local banking hours;
  • technical interruptions.

Sparroz does not guarantee that transactions will be completed within any specific timeframe.

 

17. Foreign Exchange

Where a transaction involves currency conversion:

  • applicable exchange rates will be determined in accordance with the pricing applicable to the Service;
  • exchange rates may change at any time;
  • third-party providers may determine applicable market rates;
  • additional foreign exchange fees or margins may apply where disclosed.

You acknowledge that exchange rate fluctuations may affect the final amount received by the recipient.

 

18. Fees

Certain Services are subject to fees.

Applicable fees may include:

  • account fees;
  • transaction fees;
  • currency conversion fees;
  • payment processing fees;
  • card-related fees;
  • international transfer fees;
  • expedited service fees;
  • third-party charges.

Fees applicable to a Service will generally be disclosed before the transaction is completed.

Unless otherwise required by law or expressly agreed by Sparroz, fees are non-refundable.

 

19. Third-Party Service Providers

Certain Services may rely on third-party providers, including but not limited to:

  • regulated financial institutions;
  • banking partners;
  • payment processors;
  • card issuers;
  • identity verification providers;
  • sanctions screening providers;
  • fraud prevention providers;
  • cloud infrastructure providers;
  • telecommunications providers.

While Sparroz carefully selects its partners, we are not responsible for failures, delays, outages, or interruptions caused by third parties beyond our reasonable control.

The use of certain Services may also be subject to the terms and conditions of applicable third-party providers.

 

20. Transaction Monitoring

To comply with applicable laws and protect the integrity of our platform, Sparroz monitors transactions using automated systems and manual reviews where appropriate.

Monitoring may include reviewing transactions for:

  • fraud;
  • suspicious activity;
  • sanctions compliance;
  • unusual transaction patterns;
  • regulatory obligations;
  • security risks.

Where necessary, transactions may be delayed, reviewed, declined, reversed where legally permissible, or reported to competent authorities in accordance with applicable law.

Nothing in these Terms obligates Sparroz to disclose the specific reasons for compliance-related decisions where disclosure is restricted by law or could compromise regulatory obligations.


21. Fraud Prevention and Security

Protecting our customers and the integrity of the Services is a core priority.

Sparroz maintains fraud prevention measures designed to identify, prevent, investigate, and mitigate unauthorized or fraudulent activity.

You acknowledge that Sparroz may, where reasonably necessary:

  • delay or suspend transactions;
  • temporarily restrict account functionality;
  • request additional verification;
  • contact you regarding unusual activity;
  • refuse transactions presenting an unacceptable level of risk.

These measures are intended to protect both customers and the wider financial system and shall not constitute a breach of these Terms.

 

22. Suspension of Services

Sparroz may suspend all or part of the Services immediately, with or without prior notice where permitted by applicable law, including where:

  • you breach these Terms;
  • required information has not been provided;
  • identity verification cannot be completed;
  • suspicious or fraudulent activity is detected;
  • regulatory obligations require suspension;
  • sanctions restrictions apply;
  • there is a security incident;
  • your account presents an unacceptable operational, legal, financial or reputational risk;
  • continued provision of Services could expose Sparroz or its partners to liability.

During a suspension, access to some or all Services may be unavailable.

Suspension does not necessarily indicate wrongdoing and may remain in effect while a review is conducted.

 

23. Account Closure

You may request closure of your account at any time, subject to:

  • completion of pending transactions;
  • payment of outstanding fees;
  • satisfaction of applicable legal obligations;
  • completion of required compliance reviews.

Sparroz may close your account where:

  • required by law;
  • these Terms have been materially breached;
  • fraudulent activity is identified;
  • false information has been provided;
  • your account remains inactive for an extended period, where permitted by law;
  • Sparroz ceases providing Services in your jurisdiction;
  • continued provision of Services is no longer commercially or operationally viable.

Account closure does not affect rights or obligations that arose before closure.

Certain information may continue to be retained following account closure in accordance with applicable laws and our Data Retention Policy.

 

24. Intellectual Property

All intellectual property rights relating to the Services remain the exclusive property of Sparroz or its licensors.

This includes, without limitation:

  • trademarks;
  • logos;
  • trade names;
  • software;
  • source code;
  • databases;
  • website content;
  • documentation;
  • graphics;
  • user interface designs;
  • text;
  • algorithms;
  • proprietary technology.

Subject to these Terms, Sparroz grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for their intended purpose.

Nothing in these Terms transfers ownership of any intellectual property rights to you.

 

25. Acceptable Use of the Platform

You agree that you will not:

  • copy or reproduce the Services;
  • modify or create derivative works;
  • reverse engineer or decompile software except where expressly permitted by applicable law;
  • interfere with system security;
  • attempt unauthorized access;
  • overload or disrupt the Services;
  • scrape or harvest data without authorization;
  • use automated systems except through officially supported APIs;
  • misuse Sparroz branding.

Violation of this section may result in immediate suspension or termination.

 

26. Third-Party Websites and Services

The Services may contain links to websites, applications, or services operated by third parties.

Sparroz does not control and is not responsible for:

  • third-party content;
  • privacy practices;
  • availability;
  • security;
  • products or services offered by third parties.

Your use of third-party services is governed solely by the applicable third-party terms.

 

27. Service Availability

While Sparroz aims to provide continuous availability of the Services, uninterrupted access cannot be guaranteed.

Services may become unavailable due to:

  • scheduled maintenance;
  • emergency maintenance;
  • software updates;
  • banking partner outages;
  • telecommunications failures;
  • cyber security incidents;
  • infrastructure failures;
  • government actions;
  • force majeure events;
  • circumstances beyond our reasonable control.

Sparroz may temporarily suspend access to maintain the security, stability, or integrity of the platform.

 

28. Disclaimer of Warranties

Except to the extent prohibited by applicable law, the Services are provided on an “as is” and “as available” basis.

Sparroz does not warrant that:

  • the Services will always be uninterrupted;
  • the Services will always be error-free;
  • every transaction will be completed successfully;
  • every feature will always remain available;
  • the Services will satisfy every customer’s individual requirements.

To the fullest extent permitted by law, all implied warranties are excluded, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Nothing in this section excludes rights that cannot legally be excluded under applicable consumer protection laws.

 

29. Limitation of Liability

To the maximum extent permitted by applicable law, Sparroz, its directors, officers, employees, affiliates, contractors, agents, licensors, service providers, banking partners, and payment partners shall not be liable for any:

  • indirect damages;
  • incidental damages;
  • consequential damages;
  • special damages;
  • exemplary damages;
  • punitive damages;
  • loss of profits;
  • loss of revenue;
  • business interruption;
  • loss of business opportunity;
  • loss of goodwill;
  • loss of anticipated savings;
  • loss of data;
  • currency fluctuations;
  • delays caused by third parties.

Where liability cannot legally be excluded, Sparroz’s liability shall be limited to the maximum extent permitted by applicable law.

Nothing in these Terms limits liability for fraud, gross negligence, wilful misconduct, or any liability that cannot legally be excluded.

 

30. Indemnification

You agree to indemnify, defend, and hold harmless Sparroz, its affiliates, directors, officers, employees, contractors, service providers, successors, and assigns from and against any claims, losses, liabilities, damages, penalties, judgments, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • your breach of these Terms;
  • your unlawful use of the Services;
  • your violation of applicable laws or regulations;
  • infringement of third-party rights;
  • fraudulent or negligent acts or omissions;
  • information or documentation provided by you that is inaccurate, incomplete, or misleading.

This obligation survives termination of these Terms.

 

31. Force Majeure

Sparroz shall not be liable for any delay, interruption, or failure to perform its obligations where such delay or failure results from events beyond its reasonable control, including but not limited to:

  • natural disasters;
  • floods;
  • fires;
  • earthquakes;
  • pandemics;
  • public health emergencies;
  • war;
  • terrorism;
  • civil unrest;
  • labour disputes;
  • governmental actions;
  • sanctions;
  • failures of payment networks;
  • banking system outages;
  • internet or telecommunications failures;
  • cyberattacks;
  • failures of utility services; or
  • other events beyond Sparroz’s reasonable control.

During such events, Sparroz’s obligations shall be suspended for the duration of the affected circumstances.

32. Changes to the Services

Sparroz continuously develops and improves its Services.

Accordingly, we may, from time to time:

  • introduce new products or features;
  • modify existing Services;
  • discontinue certain Services;
  • change technical specifications;
  • update security requirements;
  • enhance compliance procedures;
  • improve operational processes.

Where required by applicable law, we will provide advance notice of material changes.

Nothing in these Terms guarantees the continued availability of any specific product, feature, or functionality.

 

33. Changes to these Terms

Sparroz may amend these Terms from time to time to reflect:

  • changes in applicable laws or regulations;
  • regulatory guidance;

  • security requirements;
  • operational improvements;
  • new products or Services;
  • changes to our business.

You also agree that your electronic acceptance of these Terms, use of the Services, electronic instructions, confirmations, or other electronic actions may constitute legally binding electronic signatures.

If you are dissatisfied with any aspect of our Services, we encourage you to contact us so that we may investigate and attempt to resolve your concerns promptly.

Complaints should include sufficient detail to allow us to identify your account and understand the issue.

Sparroz will review complaints in accordance with its internal complaints handling procedures and applicable legal or regulatory requirements.

Submitting a complaint does not affect any legal rights you may have under applicable law.

 

37. Compliance with Tax Laws

You are solely responsible for determining, reporting, and paying any taxes that may arise from your use of the Services.

Nothing within the Services constitutes tax advice.

Where required by applicable law, Sparroz may collect tax-related information or report certain information to governmental authorities.

 

38. Assignment

You may not assign, transfer, delegate, or otherwise dispose of your rights or obligations under these Terms without Sparroz’s prior written consent.

Sparroz may assign or transfer its rights and obligations under these Terms as part of:

  • a corporate restructuring;
  • merger;
  • acquisition;
  • sale of assets;
  • financing transaction;
  • transfer of business operations;
  • or where otherwise permitted by applicable law.

These Terms shall remain binding upon successors and permitted assigns.

 

39. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court or competent authority, that provision shall be enforced to the maximum extent permitted by law.

The remaining provisions shall remain in full force and effect.

 

40. Waiver

Failure by Sparroz to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Any waiver shall only be effective if made in writing by an authorized representative of Sparroz.

 

41. Entire Agreement

These Terms, together with any policies or product-specific agreements expressly incorporated by reference, constitute the entire agreement between you and Sparroz regarding your use of the Services.

They supersede all prior understandings, negotiations, discussions, representations, and agreements relating to the same subject matter.

 

42. Language

These Terms are prepared in the English language.

If Sparroz provides translations into other languages, the English version shall prevail in the event of any inconsistency or conflict, unless applicable law requires otherwise.

 

43. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of law principles.

Nothing in these Terms shall limit or exclude any mandatory rights or protections afforded to consumers under the laws of their country of residence where such rights cannot lawfully be excluded or waived.

 

44. Dispute Resolution

Before commencing formal legal proceedings, you agree to make reasonable efforts to resolve any dispute by first contacting Sparroz through the contact details provided on our website.

Unless otherwise required by applicable law, the parties agree to attempt to resolve disputes through good-faith negotiations.

If a dispute cannot be resolved informally, either party may pursue any remedies available under applicable law before the competent courts of Ontario, Canada, unless mandatory law provides otherwise.

Nothing in this section limits the right of Sparroz to seek urgent injunctive or equitable relief in any court of competent jurisdiction where necessary to protect its rights, intellectual property, confidential information, or the security of its Services.

 

45. Survival

Any provisions of these Terms that by their nature should survive termination shall continue in effect after your account is closed or your use of the Services ends.

These include, without limitation, provisions relating to:

  • fees and payment obligations;
  • intellectual property;
  • confidentiality;
  • limitation of liability;
  • indemnification;
  • dispute resolution;
  • governing law;
  • regulatory reporting;
  • record retention; and
  • any accrued rights or obligations.

Effective Date
